What is a registered agent and why do I need one?

A registered agent is a person or company with a physical address in your state of formation who is authorized to receive legal documents, government notices, and service of process on your company's behalf. Every US state legally requires one — a company cannot be registered or stay in good standing without it. For a founder based in India, a registered agent is also how you reliably receive US mail and legal notices.

Can I be my own registered agent from India?

No. A registered agent must have a physical street address in the state of formation and be available there during business hours. A founder living in India can't meet that requirement, so you need a US-based registered agent service — which we include with your filing and keep renewed for you.

What does a Delaware registered agent cost and what's included?

A Delaware registered agent is an annual service that provides your required in-state address and forwards legal and state mail to you. We include the registered agent with your setup and handle the annual renewal, so your Delaware company keeps its in-state address and stays in good standing without you tracking it from India.

How do I register an LLC in Delaware from India?

You register a Delaware LLC by filing a Certificate of Formation with the Delaware Division of Corporations and appointing a Delaware registered agent. None of this requires you to be in the US — we prepare and submit the filing, provide the registered agent, and return your stamped documents, all remotely.

What's the difference between this and forming the company?

Forming the company is the broader decision — choosing the entity type (C-Corp vs LLC) and getting your founding documents and EIN. State filing and registered agent is the mechanical layer underneath it: actually filing the certificate with the state and maintaining the in-state agent. What is foreign qualification and do I need it?

Foreign qualification is registering your company to do business in a state other than the one it was formed in. If your Delaware company starts operating, hiring, or holding property in another state, that state typically requires you to foreign qualify there — a separate filing plus a registered agent in that state. We handle it if and when you expand.

Can you switch my registered agent from another provider?

Yes. If you already have a US company with a different registered agent, we can handle the change of agent filing and take over the service, then track renewals and state reports going forward so nothing lapses in the transition.

What happens if my registered agent or state filings lapse?

If your registered agent lapses or a required state report is missed, your company can lose good standing, accrue penalties, and eventually be administratively dissolved — often without the notice reaching you in India. We track renewals and deadlines specifically to prevent that.
